CREATOR UPLOAD & REVENUE SHARING AGREEMENT

1. INTRODUCTION & AGREEMENT

This Creator Upload & Revenue Sharing Agreement (“Agreement”) is entered into between:

Cinema Talkies (“Platform”, “Company”, “We”, “Us”)
and
The Creator / Filmmaker / Production House / Content Owner (“Partner”, “You”).

By uploading, submitting, or distributing content on Cinema Talkies, the Partner agrees to be legally bound by this Agreement.

2. ELIGIBILITY & AUTHORIZATION

The Partner confirms that:

  • They are legally competent to enter into this Agreement

  • They have full authority over submitted content

  • They are not violating any third-party agreements

  • All provided information is accurate and verifiable

False information may result in immediate termination.

3. OWNERSHIP OF CONTENT

The Partner retains full ownership of their content.

However, by submitting content, the Partner grants Cinema Talkies a:

Non-exclusive, worldwide, royalty-based, transferable, and sublicensable license to:

  • Host

  • Stream

  • Distribute

  • Promote

  • Market

  • Monetize

  • Archive

the content on its platform and partner platforms.

This license remains valid during the partnership period.

4. CONTENT RIGHTS & WARRANTIES

The Partner warrants that:

  • They own or control all copyrights

  • Music, footage, images, and scripts are licensed

  • No part of the content is plagiarized

  • Content does not violate laws or morality standards

  • Content complies with Indian OTT guidelines

The Partner is solely responsible for violations.

5. CONTENT STANDARDS & COMPLIANCE

All uploaded content must:

  • Follow Indian laws and IT Rules

  • Avoid obscene, hateful, or defamatory material

  • Respect religious and cultural sentiments

  • Not promote illegal activities

  • Maintain minimum technical quality

Cinema Talkies may reject or remove non-compliant content.

6. UPLOAD & REVIEW PROCESS

All submitted content shall undergo:

  • Technical review

  • Legal verification

  • Quality assessment

  • Metadata validation

Approval is at Cinema Talkies’ sole discretion.

7. REVENUE SHARING MODEL

Revenue shall be shared based on:

  • Subscription income

  • Advertisement revenue

  • Pay-per-view earnings

  • Sponsorship income

The exact revenue percentage shall be defined in a separate written or digital agreement.

8. PAYMENT TERMS

  • Payments shall be made via Bank Transfer / UPI

  • KYC verification is mandatory

  • Payment cycles: Monthly / Quarterly (as agreed)

  • Minimum payout thresholds may apply

  • Applicable taxes shall be deducted (TDS/GST)

Payments may be withheld during disputes.

9. PLATFORM COMMISSION & FEES

Cinema Talkies may deduct:

  • Platform maintenance fees

  • Processing charges

  • Marketing expenses (if agreed)

  • Technical service fees

Details shall be shared transparently.

10. INTELLECTUAL PROPERTY PROTECTION

Cinema Talkies will implement:

  • DRM systems

  • Anti-piracy monitoring

  • Watermarking

  • Content fingerprinting

However, piracy cannot be fully prevented.

The Partner acknowledges this risk.

11. PIRACY & INFRINGEMENT HANDLING

If piracy is detected:

  • Cinema Talkies will take reasonable action

  • Issue takedown notices

  • Block infringing links

  • Cooperate with authorities

The Partner shall also cooperate in enforcement.

12. CONFIDENTIALITY

Both parties agree to keep:

  • Revenue data

  • Contract terms

  • Business strategies

  • Technical information

Strictly confidential.

13. TERMINATION

This Agreement may be terminated:

By Partner:

With 30 days written notice.

By Cinema Talkies:

Immediately for:

  • Copyright violations

  • Fraud

  • Misrepresentation

  • Policy breach

  • Legal non-compliance

Upon termination, content may be removed.

14. INDEMNIFICATION

The Partner agrees to fully indemnify Cinema Talkies against:

  • Copyright claims

  • Music rights disputes

  • Defamation suits

  • Regulatory penalties

  • Financial losses

Arising from Partner’s content.

15. LIMITATION OF LIABILITY

Cinema Talkies is not liable for:

  • Lost revenue

  • Piracy damages

  • Business interruption

  • Third-party actions

Platform services are provided “as-is”.

16. FORCE MAJEURE

Neither party is liable for delays due to:

  • Natural disasters

  • Government actions

  • Network failures

  • Pandemics

  • War

17. GOVERNING LAW & JURISDICTION

This Agreement is governed by Indian law.

Jurisdiction:
Chennai, Tamil Nadu, India

18. AMENDMENTS

Cinema Talkies may modify this Agreement at any time.

Continued partnership means acceptance.

19. ENTIRE AGREEMENT

This document constitutes the complete agreement between the parties.

No oral statements shall override this Agreement.
